16.2.4 – Participatory Bodies for Stakeholder Engagement

The Board of Directors in a university is responsible for overseeing strategic planning, financial management, and policy direction. At Universiti Kebangsaan Malaysia (UKM), the Board of Directors is composed of members representing diverse backgrounds, including government officials, private sector leaders, alumni, academic representatives, and community figures. This diverse composition ensures that the board reflects a wide array of perspectives, allowing for informed and balanced decision-making that aligns with the university’s mission and goals.

By guiding the university’s policies, budgeting, and long-term vision, the Board of Directors plays a critical role in fostering UKM’s growth and sustainability. It establishes policies that shape academic programs, research initiatives, community engagement, and student services, ensuring that the university meets national priorities while advancing academic excellence and innovation. Through regular meetings and collaboration with university leaders, the Board of Directors helps UKM navigate challenges and seize opportunities, promoting a thriving, inclusive, and future-ready institution.

The university Board of Directors consisted of:

  1. Chairman;
  2. Vice-Chancellor;
  3. two officers from the public service;
  4. a person representing the community where the University is located;
  5. a University professor elected by the Senate from among the members 
  6. five persons consisting of three persons from the private sector, one from University alumni and another from within or outside the University who, in the opinion of the Minister, have knowledge and experience that can assist the Board.

The role of the Board Director are:

  1. The Board shall be the body that manages, makes policy and supervises the University, and may exercise all powers granted to the University except to the extent that such powers are granted by this Constitution or the Statutes, Rules and Regulations to the Authority, body or to other University officials.
  2. No resolution shall be passed by the Board in relation to any matter within the authority of the Senate, but the Board may send its opinion to the Senate on any matter within the authority of the Senate, for the consideration of the Senate.
  3. In addition to the functions and powers under subsection (1), the Board shall—
    • conduct a strategic supervision plan that is characterized by the University’s education and mission;
    • promote efficient and effective management and hold a comprehensive review of the University’s operations;
    • develop relationships with the community, corporate sector and industry;
    • fostering global and international relations in relation to higher education and research;
    • ensure the implementation of the Constitution, laws and policies of the University and to ensure that each Authority, Committee, Officer or committee always acts in accordance with its authority and responsibilities.
